Terms of Service

1. Agreement to Terms
By accessing or using the Goodvernance platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Goodvernance ("Company," "we," "us," or "our").
2. Description of Service
Goodvernance provides an automated analysis service for shareholder agreements ("SHA"). The Service reads and analyzes the governance clauses within your SHA, generates a governance score from 0 to 100, and, if your score meets or exceeds 70, issues a Goodvernance Seal — a verifiable certification of your governance quality.
The Service is provided on a one-time, per-analysis basis. There is no subscription. Each analysis is a single, discrete transaction.
3. Fees and Payment
The fee for a full SHA analysis is $200 USD, payable at the time of purchase through our payment processor, Stripe. All fees are charged in United States dollars and are non-refundable except as set out in Section 4 below.
You authorize us to charge your payment method for the applicable fee. All transactions are processed securely by Stripe and are subject to Stripe's terms of service.
4. Refund Policy
All sales are final. Once an analysis has been delivered to you, no refund will be issued. If you purchase an analysis and experience a technical error that prevents delivery of your results, please contact us within 14 days and we will review your case individually.
We reserve the right to issue refunds at our sole discretion in exceptional circumstances.
5. No Legal Advice
The Service does not provide legal advice. The analysis, score, and any commentary produced by Goodvernance are informational in nature and do not constitute legal, financial, or professional advice of any kind. Goodvernance is not a law firm and has no attorney-client relationship with you.
You should consult a qualified attorney before making any decisions based on the results of your analysis. The Goodvernance Seal is a certification of governance quality based on our proprietary framework — it is not a legal opinion, a guarantee of legal compliance, or a representation that your SHA is free from defects.
6. Intellectual Property
You retain all rights to the documents you upload. By uploading a document, you grant us a limited, non-exclusive license to process the document solely for the purpose of providing the Service. Your document is deleted immediately after analysis is complete. We do not store, retain, or use your SHA for any other purpose.
The Goodvernance platform, scoring framework, Seal design, and all related intellectual property are owned by Goodvernance. You may display your Goodvernance Seal to identify your governance status, but may not modify, sublicense, or misrepresent it.
7. Accuracy and Limitations
The analysis is performed by automated systems assisted by artificial intelligence. While we have designed our framework to be thorough and accurate, we make no warranty that the analysis is complete, error-free, or applicable to your specific jurisdiction. Results may vary depending on document quality, formatting, and the completeness of your SHA. You use the Service at your own risk.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Goodvernance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware. Nothing herein prevents either party from seeking injunctive relief in a court of competent jurisdiction.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the effective date at the top of this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
