What Goodvernance is, and is not

Goodvernance is a software product that helps pre-incorporation founders write down and run their agreement. It is not a substitute for a lawyer. Goodvernance does not provide legal advice, legal opinions or legal representation.

Goodvernance may be built with input from a startup lawyer, but using the platform does not make us your lawyer and does not create any legal representation or attorney-client relationship.

How your agreement is generated

Your Founder Agreement is generated from the answers you provide and from general product defaults. These defaults are common starting points, not personalised legal recommendations for your specific situation.

When you should consult a lawyer

You should consult a qualified lawyer for matters including:

  • Delaware law and other governing-law questions;
  • securities and equity issuance questions;
  • tax questions;
  • intellectual-property ownership questions;
  • employment or contractor questions;
  • founder teams spanning multiple jurisdictions;
  • disputed or contentious founder departures; and
  • complex amendments or anything with significant consequences.

What Goodvernance does not do

  • Goodvernance does not incorporate or form companies.
  • Goodvernance does not issue or transfer shares or other securities.
  • Goodvernance does not create or maintain a stock ledger or cap table of record.

The dashboard reflects, it does not replace

The platform dashboard reflects the terms you have signed and helps you track them over time. It is a convenience view: it does not replace your signed agreement, which remains the governing document.
